1. Acceptance of Terms

Welcome to WomenCEO (“we,” “our,” “us,” or the “Platform”). These Terms of Service (“Terms”) govern your use of the WomenCEO mobile application and website (collectively, the “Service”) operated by WomenCEO LLC, a limited liability company organized under the laws of Arizona.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

WomenCEO is a professional networking and marketplace platform connecting women for mentoring, professional development, and business services. Our Service includes:

  • Professional Networking: Connect with other professional women for mentoring and career growth
  • Marketplace Services: Offer or hire professional services on an hourly, project-based, or monthly basis
  • Messaging: Communicate directly with connections and service providers
  • Events: Create, discover, and participate in professional development events
  • Content Sharing: Share posts, articles, and professional insights
  • Escrow and Payment Processing: Secure payment handling for marketplace transactions

3. User Roles and Accounts

3.1 Account Types

All Users can network, message, share content, and participate in events.

Service Providers can additionally offer professional services, submit proposals, and receive payments.

Clients can post projects, hire service providers, and pay for services.

Users may function in multiple roles (e.g., both service provider and client).

3.2 Account Creation and Responsibility

  • You must provide accurate and complete information
  • You must promptly update your information to keep it accurate
  • You are solely responsible for your account and all activities under your account
  • You must immediately notify us of any unauthorized use

3.3 Service Provider Qualifications

While any woman may offer services on the platform, we strongly recommend:

  • Accurate representation of your skills and experience
  • Professional credentials or portfolio demonstrating expertise
  • Honest disclosure of your qualifications
  • Compliance with any licensing requirements for your profession

We reserve the right to remove service providers who misrepresent their qualifications or receive consistent negative feedback.

3.4 Account Termination

You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or our Community Guidelines.

4. Marketplace Services

4.1 Service Offerings

Service providers may offer services on the following basis:

  • Hourly: Services billed by the hour
  • Project-Based (Packaged): Fixed-price services for defined deliverables
  • Monthly: Ongoing services with monthly billing

Minimum Contract Value: $20.00

4.2 Prohibited Services

The following services are strictly prohibited:

  • Illegal activities or services that violate any laws
  • Services involving deception, fraud, or misrepresentation
  • Unethical services that harm others
  • Romantic or dating services
  • Services that encourage others to lie, cheat, steal, or engage in unethical behavior
  • Services of a sexual nature or otherwise inappropriate
  • Multi-level marketing or pyramid schemes
  • Services requiring licenses without proper credentials

4.3 Setting Rates and Terms

Service providers:

  • Set their own rates and pricing
  • Define scope of work and deliverables
  • Establish timelines and milestones
  • Create service packages as desired

4.4 Proposal and Contract Process

For Service Providers:

  1. Review client project postings
  2. Submit proposals with pricing, timeline, and approach
  3. Negotiate terms if requested
  4. Accept contract upon client approval

For Clients:

  1. Post project requirements or browse service provider profiles
  2. Review proposals from service providers
  3. Communicate with providers to clarify scope
  4. Accept proposal to initiate contract

Contract Formation: A binding contract is formed when a client accepts a service provider’s proposal.

5. Payment Terms and Fee Structure

5.1 Platform Fees

Service Provider Fees: 10% of the contract value

Client Fees:

  • Contracts up to $200: $3.00 flat fee
  • Contracts over $200: 2% of the amount exceeding $200 (plus $3.00 for the first $200)

Example Client Fee Calculation:

  • $150 contract = $3.00 client fee
  • $500 contract = $3.00 + ($300 × 2%) = $9.00 client fee

5.2 Payment Processing

Payments are processed through:

  • Apple Pay (in-app purchases)
  • Stripe
  • PayPal

By making or receiving payments, you agree to the terms and conditions of the respective payment processor.

5.3 Escrow System

How Escrow Works:

  1. Client accepts a proposal
  2. Full contract amount (or first milestone) is charged to client’s payment method
  3. Funds are held in escrow by WomenCEO
  4. Service provider completes work
  5. Client approves completed work
  6. Funds are held for 14 days after approval
  7. Funds are released to service provider after 14-day waiting period

Purpose: The 14-day holding period protects both parties and allows time for dispute resolution if needed.

5.4 Milestone-Based Payments

For larger projects, parties may establish milestones:

  • Service provider defines milestones with specific deliverables and amounts
  • Client approves milestone structure
  • Each milestone is funded separately through escrow
  • Service provider submits completed milestone
  • Client approves milestone
  • 14-day waiting period begins
  • Funds released to service provider

5.5 Payment Release

Funds are automatically released to service providers:

  • 14 days after client approval of work
  • If no dispute is filed within the 14-day period
  • Minus platform fees (10%)

5.6 Service Provider Payouts

Service providers receive payments via:

  • Bank transfer (ACH)
  • PayPal
  • Other methods as made available

Payout Schedule: Funds are transferred within 3-5 business days after the 14-day holding period.

6. Disputes and Refunds

6.1 Dispute Resolution Process

Step 1: Direct Resolution (Required First Step)

  • Parties must attempt to resolve disputes directly through platform messaging
  • Document all communications regarding the dispute
  • Attempt good-faith resolution for at least 3 business days

Step 2: Platform Mediation If direct resolution fails:

  • Either party may request WomenCEO mediation within the 14-day holding period
  • Submit dispute through the platform with:
    • Description of the issue
    • Evidence of work completed/not completed
    • Relevant communications
    • Proposed resolution
  • WomenCEO will review evidence from both parties
  • We will make a determination within 7 business days

Step 3: Final Decision

  • WomenCEO’s decision on disputed funds is final
  • Possible outcomes: full payment to provider, full refund to client, partial payment/refund, or other resolution
  • Parties may pursue legal remedies if they disagree with our decision

6.2 Refund Policy

Completed Milestones:

  • If milestones were completed and approved, refunds will be evaluated case-by-case
  • Evidence of incomplete or substandard work must be provided
  • Partial refunds may be issued based on work completed

Incomplete Work:

  • Full refund if service provider fails to deliver or abandons project
  • Partial refund based on percentage of work completed

Client Cancellation After Work Begins:

  • Service provider is entitled to payment for work completed
  • Refunds based on work not yet performed

Refund Processing:

  • Approved refunds processed within 5-7 business days
  • Returns to original payment method

6.3 Ineligible for Refunds

Refunds will not be issued for:

  • Change of mind after work is completed satisfactorily
  • Client’s failure to provide necessary information or materials
  • Subjective preferences on completed work that meets agreed specifications
  • Delays caused by client

7. Contract Cancellations

7.1 Before Work Begins

By Client:

  • Full refund minus payment processing fees
  • Must cancel before service provider begins work

By Service Provider:

  • No penalties
  • Must notify client immediately
  • Full refund issued to client

7.2 After Work Begins

By Client:

  • Service provider entitled to payment for work completed
  • Client pays for completed milestones
  • Unused escrow funds refunded
  • Platform fees still apply to completed work

By Service Provider:

  • Client receives refund for incomplete work
  • Service provider receives payment only for approved completed work
  • May impact service provider’s rating and standing

7.3 Mutual Agreement

Both parties may agree to cancel at any time with mutually agreed terms for payment of completed work.

7.4 Platform-Initiated Cancellation

We may cancel contracts if:

  • Either party violates these Terms
  • Fraudulent activity is detected
  • The contract involves prohibited services
  • Either party’s account is suspended or terminated

8. Reviews and Ratings

8.1 Review System

After contract completion:

  • Clients may review service providers
  • Service providers may review clients
  • Reviews include ratings and written feedback
  • Reviews are public and visible on profiles

8.2 Review Guidelines

Reviews must:

  • Be honest and based on actual experience
  • Be professional and constructive
  • Not include personal attacks or harassment
  • Not violate others’ privacy
  • Relate to the work performed

8.3 Prohibited Review Content

Reviews may not:

  • Include profanity or offensive language
  • Disclose confidential information
  • Make false or defamatory statements
  • Attempt to extort or manipulate users

We reserve the right to remove reviews that violate these guidelines.

9. Community Guidelines and Acceptable Use

9.1 Professional Standards

WomenCEO is a professional platform. All users must maintain professional conduct and contribute positively to the community.

9.2 Prohibited Content and Activities

You may not:

  • Engage in harassment, bullying, or discriminatory behavior
  • Post divisive political content or engage in political debates
  • Share content intended to tear down or demean other users
  • Post spam or promotional content unrelated to professional development
  • Share false, misleading, or fraudulent information
  • Violate intellectual property rights
  • Post illegal, harmful, or inappropriate content
  • Use the Platform for romantic or dating purposes
  • Attempt to bypass security measures or payment processing
  • Take transactions off-platform to avoid fees
  • Create multiple accounts to circumvent restrictions

9.3 Professional Focus

Content should relate to professional growth, career development, mentoring, business insights, professional wins, goals, expertise sharing, and professional services.

10. Tax Responsibilities and Independent Contractor Status

10.1 Independent Contractors

Service providers are independent contractors, not employees of WomenCEO or clients. You are responsible for:

  • Your own taxes (income, self-employment, sales tax, etc.)
  • Business licenses and permits
  • Professional liability insurance
  • Compliance with all applicable laws

10.2 Tax Reporting

  • WomenCEO may issue 1099 forms to service providers as required by law
  • Service providers earning over $600 annually may receive tax documentation
  • You are responsible for accurate tax reporting regardless of documentation received

10.3 Client Responsibilities

Clients are responsible for determining whether they need to treat service providers as contractors for tax purposes.

11. User-Generated Content

11.1 Content Ownership

You retain ownership of content you post, but grant WomenCEO a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute your content in connection with the Service.

11.2 Content Standards

All content must comply with our Community Guidelines and these Terms.

11.3 Content Moderation

We reserve the right to review, moderate, edit, or remove any content at our discretion using automated systems and manual review.

12. Intellectual Property

12.1 Work Product

Unless otherwise specified in a contract:

  • Service providers grant clients rights to deliverables as specified in proposals
  • Ownership and licensing terms should be clearly defined in proposals
  • Disputes over intellectual property should be resolved between parties

12.2 Platform Intellectual Property

The Service and its original content, features, and functionality are owned by WomenCEO LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

13. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

14. Disclaimers and Limitation of Liability

14.1 Platform Disclaimer

WE PROVIDE THE SERVICE “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE:

  • The quality, safety, or legality of services offered by providers
  • That service providers have the qualifications they claim
  • That clients will pay or that providers will complete work
  • Uninterrupted or error-free operation of the platform

14.2 Relationship Disclaimer

WomenCEO is a platform connecting users. We are not a party to contracts between service providers and clients. Disputes between users are their responsibility.

14.3 No Professional Advice

Content shared by users does not constitute professional advice. Users should verify information and consult qualified professionals.

14.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOMENCEO LLC SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or other intangible losses
  • Damages arising from disputes between users
  • Service provider’s failure to perform or quality of work
  • Client’s failure to pay or provide necessary materials

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES WE EARNED FROM THE TRANSACTION IN DISPUTE.

15. Indemnification

You agree to indemnify and hold harmless WomenCEO LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your contracts with other users
  • Tax obligations or legal compliance failures

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

17.2 Disputes Between Users and WomenCEO

For disputes between you and WomenCEO:

  • Informal resolution required first (30 days good-faith negotiation)
  • Binding arbitration in Arizona for disputes under $10,000
  • Litigation in Maricopa County, Arizona for larger disputes

17.3 Disputes Between Users

Disputes between service providers and clients are subject to Section 6 (Disputes and Refunds) of these Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and WomenCEO LLC regarding the Service and supersede all prior agreements.
